Newton Virus USB: Software End User Licence

Software - means the Newton Virus and/or the Newton Virus Screen saver as supplied and licensed by the Licensor and the underlying source code

Licensor - means Troika Artificial Life Limited

Licensee - means the individual, group company or other entity that accepts the terms of this End User Licence

Instructions - means the instructions as to the correct use and installation of the Software.

Hardware - means the personal computer or other electronic system that supports the installation and use of the Software

Upon the acceptance of the terms of this End User Licence the Licensee accepts all terms and conditions set out herein.

The Licensee understands and accepts that the Software is distributed and made available by the Licensor solely for the purpose of demonstrating the capabilities of the Hardware upon which it is installed and for the interest and/or amusement of the Licensee. The Software should not be used maliciously or with the intent of causing distress or alarm and the Licensee warrants not to use the Software for such purpose or reason. The Licensee acknowledges that this End User License permits the use of the Software by the Licensee only and under no circumstances may the License copy, distribute or otherwise make the Software available  to any third party without the Licensor's express permission. To do so would constitute a breach of the Licensor's intellectual property rights in the Software. The Licensee understands and accepts that this End User Licence Agreement permits the installation, use and   operation of the Software by the Licensee only. The Licensee shall be responsible for all consequences flowing from the use, installation or operation of the Software.

The Licensor shall not be responsible for any harm or damage resulting from the use of the Software. This includes any loss of data that may occur as a result of the Licencee not complying with or following the Instructions for the Software. The Software should only be used in accordance with the Instructions.

The Licensee expressly accepts all liability incurred through the use of the Software. The Software should not be used under circumstances where to use the Software may cause distress, alarm to any person or property. In such circumstances where the Licensor uses or permits the use of the Software and that such use causes alarm, damage or distress to person or property the Licensor shall accept all liability for all damages. The Licensee accepts full responsibility for any damage that may occur to the Hardware as a specific result of, or in association with , the installation and activation of the Software. In accordance with the Instructions, when operating the Software the Hardware should, under no circumstances be raised or tilted at a height of more than 2 (two) centimetres and at all times the Hardware should be held securely by the Licensee and tilted at no more than 30 (thirty) degrees.

The Licensee acknowledges and accepts that under certain circumstances there may be instances whereby the installation or operation of the Software may result in the alarm or distress of third parties and as such the Licensor agrees not to install, use or operate the Software on Hardware owned or operated by any other third party.

The Licensee warrants and undertakes not to tamper, alter, interfere, update or otherwise 'hack' the source code that comprises the Software. Any such attempt to initiate any change to the source code of the Software shall constitute a breach of the intellectual property rights of the Licensor and may expose the Licensee to a claim for damages or compensation. Whilst every attempt is made to ensure that the Software operates smoothly on all Hardware it is acknowledged that updates, additions, revision to the source code ("Updates") may be made available from time to time by the Licensor and that it shall be the responsibility of the Licensee to ensure that any such Updates are acquired and installed as appropriate. The Licensee undertakes to make regular enquires after Updates. In the event that the Software has not been Updated where an Update has been made available, the Licensor shall accept no responsibility or liability for the corruption, failure or otherwise retarded operation of the Software. The Licensee shall accept all responsibility for the correct installation of any Update that is henceforth made available by the Licensor or any third party so authorised.

Whilst the Licensor takes every opportunity and precaution in order to make the Software bug free and to present it in full working order no liability it is accepted for any loss of data or conflict with software installed on the Hardware at the time that the Software is installed or operated on the Hardware.

Licensor agrees and accepts that the purchase and/or use of the Software conveys no right of ownership over the Software and that the Software is operated by permission under the terms of this End User License only.
